Terms of sales and delivery

General
These terms of sales and delivery are exclusively valid with rejection of all other terms of delivery, which may be declared valid,

specifically the terms of the buyer, for all our deliveries, unless a written other agreement has been made.
Prices

The prices in this catalogue are in EUR and excl. VAT and do not include the costs of assembly, installation, instruction, transport
package, shipment, etc. if applicable. Delivery ex. works Groningen, The Netherlands.
Additional Services

Costs can be charged for additional services such as processing invoices in third-party systems, issuing an origin declaration and
export documents, etc.
Payment

Payment of our invoice should be made to our bank account without deduction of any discount. Any deduction will be charged. We
remain the right for invoicing partial deliveries. We reserve the right to charge interest on the delayed payments. In case of payment
delay we reserve the right to postpone new deliveries and services.

The prices in this catalog can change on any moment. For current prices refer to our online catalog on www.Schut.com.
Ownership Reservation

The delivered goods shall remain our legal property until full payment of the related invoice(s) is fulfilled.
Delivery Time

The delivery time we mention in an offer, is the time counting from the day we receive the order, interim sales preserved. We do our
utmost to meet the confirmed delivery time. This is deemed to be an estimate and a prolongation of the delivery time can not give rise to
contractual obligations or any claims. The order can not be withdrawn due to prolongation of the delivery.
Warranty

Our warranty is at all times explicitly limited to the repair or replacement of the defective goods or credit of the amount invoiced to
the buyer for such goods. Any related travelling or shipping costs are charged to the buyer. Any claim for compensation of consequential
or any indirect loss or damage shall not be taken into consideration. The quality-warranty provided by the producer of the catalog-items
is applicable. All defects and damage, direct or indirect, caused by the buyer or third-party due to unprofessional, wrongly or careless
handling of the goods are excluded from warranty and will not be refunded.
Return Shipment

A return shipment can only be accepted, if it has been agreed upon on beforehand. Return shipments must carry a return-authorization-
number and a written problem-description. 10% of the sale price of the products (with a minimum of EUR 25.- per article) will not be
credited, in the case the product is taken back by us. The carriage and customs have to be paid and taken care of by the buyer. Goods
especially made or ordered for the customer and flawless goods can never be returned. No consignment on approval will be made.
Repairs

Regarding the fulfillment of repair-order applications and repairs our conditions for return shipments have to be fulfilled. Besides
these, we reserve the right to charge the costs for repair-order applications, consisting of investigation costs and transport costs, even
when repair is not possible or not profitable.
Complaints

The shipment should be checked on completeness, correctness and on defects. Complaints about delivered goods must be made in
writing latest within eight (8) days after receipt of the goods, otherwise the goods are considered as accepted. Damages caused by
transport are to be reported to the shipper and to us in writing, immediately after receipt of the goods.
Additional Provisions

The terms of sales and delivery are registered at the Chamber of Commerce of Groningen, The Netherlands. All disputes of any kind,
originated in any geographical location, are to be settled by the court of law in Groningen, The Netherlands. The Dutch law is applicable.

Much attention has been given to the presentation of correct information. The pictures and illustrations have also been attended to with
great care. Nevertheless, it is almost inevitable that differences with the delivered product may occur. Continuous development and
advancing insights may also be reasons for any possible difference.
All prices in this catalog are exclusive of VAT Prices and specifications are subject to change.
